TERMS AND CONDITIONS OF USE

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE ACCESSING OR USING THE THEBLOW360 APPLICATION. BY DOWNLOADING, REGISTERING, OR USING THE APP IN ANY CAPACITY, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE APP.

1. INTRODUCTION AND PARTIES

1.1 These Terms and Conditions ("Agreement" or "Terms") govern the legal relationship between Theblow360enterprise ("Company", "We", "Us", or "Our"), a duly incorporated business entity operating under the laws of the Federal Republic of Nigeria with its principal place of business at Warri, Delta State, Nigeria, and any individual or entity ("User", "You", or "Your") who accesses or uses the Theblow360 mobile application and its associated services.

1.2 Theblow360 is a technology-enabled marketplace platform that acts as an intermediary connecting Users with independent third-party service providers ("Vendors" or "Service Providers") in the areas of logistics, vehicle rentals, food delivery, and other on-demand services. The Company does not directly provide any logistics, online shopping, Car rental, or food delivery services; rather, it provides the technological platform that facilitates such transactions between Users and Vendors.

1.3 This Agreement is entered into in accordance with and shall be governed by the laws of the Federal Republic of Nigeria, including but not limited to the Federal Competition and Consumer Protection Act, 2018 (FCCPA), the Nigeria Data Protection Act, 2023 (NDPA), the Cybercrimes (Prohibition, Prevention, etc.) Act, 2015 (as amended), and the Companies and Allied Matters Act, 2020 (CAMA).

2. ELIGIBILITY

2.1 Age Requirement: You must be at least eighteen (18) years of age to use the Theblow360 App. By accessing the App, you represent and warrant that you are of legal age to form a binding contract under Nigerian law. If you are below 18 years of age, you may only use the App under the direct supervision and consent of a parent or legal guardian, who shall assume full responsibility for your use of the platform.

2.2 Legal Capacity: You further represent that you have the legal capacity and authority to enter into this Agreement, and that your use of the App does not violate any applicable laws or regulations.

2.3 Corporate Users: If you are accessing the App on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms, and "You" shall refer to both you and such entity.

3. USER ACCOUNT REGISTRATION

3.1 Account Creation: To access the full features of the Theblow360 App, you must register and create an account by providing accurate, complete, and current information including your full legal name, a valid email address, a functional Nigerian mobile phone number, and any other information requested during the registration process.

3.2 Account Security: You are solely responsible for maintaining the confidentiality of your account login credentials, including your password and PIN. You agree to notify the Company immediately at theblow360enterprise@gmail.com of any unauthorized access to or use of your account. The Company shall not be liable for any loss or damage arising from your failure to secure your account credentials.

3.3 Account Accuracy: You agree to keep your registration information accurate, current, and complete at all times. The Company reserves the right to suspend or terminate accounts that contain false, misleading, or outdated information.

3.4 One Account Policy: Each User is permitted to maintain only one (1) active personal account. Creating multiple accounts to circumvent suspensions, bans, or service restrictions is strictly prohibited and constitutes a breach of these Terms.

3.5 Account Verification: The Company reserves the right to verify your identity and the accuracy of information provided during registration. Failure to cooperate with verification procedures may result in suspension or termination of your account.

4. SERVICES OFFERED

4.1 The Theblow360 App provides Users with access to the following categories of services through its platform, subject to availability in your geographic location within Nigeria:

• Logistics Services: Coordination of parcel pickup and delivery between Users and registered logistics Vendors within designated service areas.

• Vehicle Rental Services: Facilitation of short-term and long-term vehicle hire arrangements between Users and verified vehicle Vendor operators.

• Food Delivery Services: Connection of Users with registered food vendors and restaurants for the placement, processing, and delivery of food orders.

• Other On-Demand Services: Such additional services as the Company may introduce from time to time on the App.

4.2 The Company acts solely as a technology intermediary and marketplace. The actual provision of logistics, vehicle rental, food delivery, and related services is carried out by independent Vendors who are not employees, agents, partners, or representatives of the Company. The Company does not control the acts or omissions of Vendors and shall not be responsible for the quality, safety, timeliness, legality, or fitness for purpose of any service rendered by a Vendor.

4.3 Service availability is dependent on geographic coverage, Vendor availability, and other operational factors. The Company makes no guarantee that any specific service will be available at any given time.

5. USER OBLIGATIONS AND PROHIBITED CONDUCT

5.1 As a User of the Theblow360 App, you agree at all times to:

1. Use the App solely for lawful purposes and in accordance with these Terms and all applicable Nigerian laws and regulations.

2. Provide accurate, truthful, and complete information at all stages of service requests.

3. Treat all Vendors and Company personnel with respect and dignity.

4. Pay all applicable fees, charges, and levies promptly and in full.

5. Report any suspected fraudulent activity or security breach to the Company immediately.

5.2 You are expressly prohibited from:

• Using the App for any fraudulent, deceptive, or unlawful purpose.

• Attempting to gain unauthorized access to any part of the App, its servers, or related systems.

• Uploading, transmitting, or distributing any content that is defamatory, obscene, harassing, threatening, or otherwise objectionable.

• Reverse-engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the App.

• Using automated bots, scrapers, or other unauthorized tools to access or interact with the App.

• Reselling, sublicensing, or otherwise commercially exploiting access to the App without written authorization from the Company.

• Impersonating any person or entity, or misrepresenting your affiliation with any person or entity.

• Engaging in any conduct that may interfere with or disrupt the App or its infrastructure.

6. VENDOR RELATIONSHIP AND DISCLAIMER

6.1 Independent Contractors: All Vendors operating on the Theblow360 platform are independent contractors. Nothing in these Terms or in the relationship between the Company, Users, and Vendors shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between the Company and any Vendor.

6.2 Vendor Liability: The Company does not warrant the accuracy of information provided by Vendors on the platform. Disputes arising from the provision or non-provision of services by Vendors shall be resolved primarily between the User and the Vendor. However, the Company shall, where reasonably practicable, provide assistance in facilitating dispute resolution.

6.3 Vendor Conduct: While the Company endeavors to onboard reputable and vetted Vendors, the Company cannot guarantee the conduct, competence, or compliance of Vendors. Users are encouraged to review Vendor ratings and reviews before placing service requests.

7. PAYMENTS AND FEES

7.1 The Theblow360 App operates on a transaction-based model. When you place a service request, the applicable fees shall be displayed on the App prior to confirmation of your order.

7.2 All transactions shall be processed through the payment gateway integrated into the App. The Company accepts payment via debit/credit cards, bank transfers, USSD codes, and such other methods as may be made available on the App from time to time.

7.3 All prices quoted on the App are in Nigerian Naira (NGN) and are inclusive of applicable Value Added Tax (VAT) at the statutory rate of 7.5% as prescribed by the Value Added Tax Act.

7.4 The Company reserves the right to revise its fee structure and service charges at any time. You will be notified of material changes before they take effect. Continued use of the App after such notification constitutes acceptance of the revised fees.

7.5 Where applicable, surge pricing or peak period charges may apply. These will be clearly disclosed prior to confirmation of a transaction.

8. INTELLECTUAL PROPERTY

8.1 All intellectual property rights in and to the Theblow360 App, including but not limited to its software, source code, design, graphics, logos, trademarks, trade names, text, and other content (collectively, "IP Assets"), are the exclusive property of Theblow360enterprise or its licensors.

8.2 You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the App strictly in accordance with these Terms and for personal, non-commercial purposes only.

8.3 Nothing in these Terms shall be construed as granting any rights in or to the Company's IP Assets beyond what is expressly stated herein.

8.4 Any feedback, suggestions, or improvements you provide to the Company regarding the App shall be deemed a gratuitous, unsolicited submission and shall become the sole property of the Company, without any obligation of confidentiality or compensation.

9. LIMITATION OF LIABILITY

9.1 To the fullest extent permitted by applicable Nigerian law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, goodwill, or other intangible losses, arising out of or in connection with:

• Your access to or use of (or inability to access or use) the App;

• Any conduct or content of third-party Vendors on the App;

• Any service rendered or not rendered by a Vendor;

• Unauthorized access, use, or alteration of your transmissions or content.

9.2 The Company's total aggregate liability for any claim arising under or related to these Terms shall not exceed the total amount paid by you to the Company in the three (3) calendar months immediately preceding the event giving rise to the claim.

9.3 The Company does not exclude or limit liability for death or personal injury caused by its own negligence, or for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under Nigerian law.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Theblow360enterprise, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with your violation of these Terms, your use of the App, your violation of any applicable law or regulation, or your infringement of any third-party rights.

11. TERMINATION

11.1 The Company reserves the right to suspend or terminate your account and access to the App at any time, with or without notice, for conduct that the Company determines, in its sole discretion, violates these Terms, is harmful to other Users, Vendors, or the Company, or for any other reason.

11.2 You may terminate your account at any time by contacting our support team at support@theblow360.com. Termination does not relieve you of obligations incurred prior to termination.

11.3 Upon termination, all licenses granted to you under these Terms shall immediately cease. Provisions of these Terms that by their nature should survive termination (including payment obligations, intellectual property rights, limitation of liability, and dispute resolution) shall survive.

12. DISPUTE RESOLUTION

12.1 In the event of any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or validity thereof, the parties shall first attempt to resolve the matter amicably through good-faith negotiations.

12.2 If the dispute cannot be resolved within thirty (30) days of one party notifying the other in writing, either party may refer the matter to arbitration in accordance with the Arbitration and Mediation Act, 2023 of Nigeria.

12.3 The seat of arbitration shall be Warri, Delta State, Nigeria, and proceedings shall be conducted in the English language.

12.4 Nothing herein shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction in Nigeria.

13. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any legal action arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Delta State, Nigeria.

14. AMENDMENTS TO TERMS

The Company reserves the right to modify these Terms at any time. Where changes are material, you will be notified via email or an in-App notification at least fourteen (14) days before the changes take effect. Your continued use of the App following the effective date of any amended Terms constitutes your acceptance of such changes.
